Terms of Service

Effective and last updated October 15, 2026

Please read these Terms carefully. Section 21 requires that most disputes be resolved by binding individual arbitration and waives the right to a jury trial and to participate in a class action. Sections 18 and 19 disclaim warranties and limit Decka's liability.

These Terms of Service ("Terms") are a binding agreement between Decka Enterprises LLC, a California limited liability company ("Decka," "we," "us," or "our"), and you ("you" or, if you purchase Services, "Client"). They govern your use of deckaservices.com and any site that links to these Terms (the "Site") and of the services Decka provides (the "Services").

You accept these Terms by (a) checking a box or clicking a button indicating acceptance, (b) signing or accepting an order form, proposal, or invoice that references these Terms (an "Order"), (c) paying for Services, or (d) using the Site or Services. If you accept on behalf of a business, you represent that you have authority to bind it, and "you" and "Client" refer to that business. If you do not agree, do not use the Site or Services.

1. Eligibility and business use

You must be at least 18 years old and able to form a binding contract. The Services are offered only to businesses and are purchased for business purposes, not personal, family, or household use. You represent that all information you provide to Decka is accurate and complete.

2. The Services

Decka builds, configures, and supports AI Workforce systems for local businesses, which may include an AI receptionist for calls, text messages, web chat, and messaging channels; missed-call text back; review requests, review responses, and satisfaction surveys; business listings and local search management; AI-assisted social media and blog content; CRM, follow-up, and reactivation automations; and add-on services such as website design, advertising management, and search engine optimization. The Services included in your plan are those described in your Order or, if none, on our pricing page when you purchased.

Third-party platforms. The Services are delivered using third-party software platforms, AI models, telephony and messaging carriers, and channels such as Google, Meta, and others ("Third-Party Services"). Third-Party Services are governed by their own terms, which you agree to follow. Decka does not control and is not responsible for Third-Party Services, including their availability, features, pricing, policies, outages, suspensions, data handling, or changes. Decka may modify, replace, or discontinue any component of the Services, including any Third-Party Service, and will use reasonable efforts to provide materially similar functionality.

Beta features. Features identified as beta, preview, or early access are provided as is, may change or be withdrawn at any time, and are excluded from any service commitment.

3. Fees, billing, and payment

  • Plans. Current pricing: AI Workforce, $799 per month plus a one-time $497 setup fee; AI Workforce Managed, $2,397 per month plus a one-time $997 setup fee. Pricing in an Order controls.
  • Automatic renewal. Monthly fees are billed in advance and renew automatically each month until cancelled under Section 6. You authorize Decka and its payment processor to charge your payment method on file for all fees when due, including renewal fees, add-ons you approve, and applicable taxes.
  • Setup fees are non-refundable once work has begun. All fees are non-refundable except as required by law or expressly stated in an Order. No refunds or credits are given for partial months, unused allowances, or unused Services.
  • Taxes. Fees exclude taxes. You are responsible for all sales, use, and similar taxes other than taxes on Decka's net income.
  • Late payment. Amounts not paid when due accrue a late charge of 1.5% per month or the maximum rate permitted by law, whichever is lower. If any amount remains unpaid 10 days after notice, Decka may suspend the Services until the account is current. You are responsible for reasonable costs of collection, including collection agency fees and reasonable attorneys' fees.
  • Billing disputes and chargebacks. You must notify Decka in writing at support@deckaservices.com of any billing dispute within 30 days of the charge, or the charge is final. Initiating a chargeback without first giving Decka written notice and 30 days to resolve the dispute is a material breach of these Terms, and you will reimburse Decka's chargeback fees and costs.
  • Price changes. Decka may change fees on 30 days' written notice. Continued use after the effective date constitutes acceptance.

4. Discounts and promotions

Veteran-owned businesses receive 10% off the monthly fee upon reasonable proof of the owner's military service. The setup fee is not discounted. Discounts and promotions cannot be combined, have no cash value, apply only prospectively, and may be modified or ended for new Clients at any time. Decka may revoke a discount obtained through inaccurate information and bill the difference.

5. AI usage allowances and add-on usage

No surprise charges. Each plan includes a monthly AI usage allowance. Currently the allowance includes up to 300 minutes of AI voice answering per month, with calls up to 10 minutes each, plus the platform's standard allowance for AI text, chat, and messaging. Allowances reset on the first day of each calendar month, do not roll over, and have no cash value.

  • Decka or its platform will notify you before your account reaches its monthly allowance.
  • When the allowance is exhausted, new AI work pauses until the next reset unless you approve an add-on usage pack. Decka will not charge for additional usage without your prior written approval (email is sufficient). Add-on usage is billed at Decka's published rate when you approve it.
  • Decka configures a fallback during onboarding so callers can reach your phone or voicemail when AI answering is paused. You are responsible for answering calls routed to you.
  • Decka's platform provider is transitioning AI usage to a credit-based system beginning January 1, 2027. Decka may change how allowances are measured on 30 days' written notice, and will keep the included allowance reasonably comparable to that described here.
  • Unless agreed otherwise in writing, Decka configures call forwarding to route only unanswered, busy, and after-hours calls to the AI. Changes you make to forwarding are your responsibility.

6. Term, cancellation, and termination

Month to month. Plans continue month to month until cancelled. You may cancel at any time by written notice to support@deckaservices.com. Cancellation takes effect 30 days after Decka receives notice; Services continue and fees remain due through the effective date.

Termination by Decka. Decka may terminate any Order or these Terms for convenience on 30 days' written notice, or immediately on notice if you breach these Terms (including non-payment), if your use creates legal, regulatory, security, or reputational risk to Decka or its providers, or if a Third-Party Service required for the Services suspends or terminates your use.

Effect. On termination, all unpaid fees become immediately due, your access to the Services ends, and Section 14 governs Client Data. Sections that by their nature should survive termination survive, including Sections 3, 7, 8, 10, 12 through 16, and 18 through 25.

7. Your responsibilities

  • Accurate information and approvals. You will provide and keep current accurate business information, services, hours, policies, pricing guidance, and FAQs, and review and approve configurations and content when requested. The AI relies on the information you provide, and you are responsible for it.
  • Access. You will provide timely access to accounts and systems Decka reasonably requires, maintain the security of your own credentials, and remain the owner of your accounts. Delays you cause extend delivery timelines and do not reduce fees.
  • Personnel. You will designate a contact authorized to make decisions and approve work.
  • Third-party terms. You will comply with the terms and policies of all Third-Party Services used for your account.

8. Your legal compliance

You are solely responsible for your business's compliance with all laws that apply to your communications and data, including without limitation the Telephone Consumer Protection Act and FCC rules (including rules on artificial and prerecorded voices), the CAN-SPAM Act, the California Invasion of Privacy Act and other wiretapping, eavesdropping, and call-recording laws, state telemarketing and "mini-TCPA" laws, the CCPA and other privacy laws, consumer protection and advertising laws, and carrier and A2P 10DLC messaging requirements. Without limiting the foregoing, you represent and warrant that:

  • you have, and will maintain records of, all consents legally required to contact each person you or the Services call, text, or email, and will honor opt-outs promptly;
  • you will provide all notices and obtain all consents required for call recording, AI interaction, chat monitoring, and data collection on your phone lines, website, and channels, and will not ask Decka to remove AI or recording disclosures;
  • you will not use the Services to send unsolicited marketing messages, to contact numbers on do-not-call lists without consent, or to send content prohibited by carriers;
  • information you provide for messaging registration is accurate; and
  • you have the right to provide Decka all Client Data and content you supply.

Decka does not provide legal advice and does not monitor or verify your compliance. Configuration of the Services by Decka does not shift responsibility for compliance to Decka.

9. Prohibited uses

You will not, and will not allow anyone to: (a) use the Site or Services for any unlawful, deceptive, harassing, defamatory, or fraudulent purpose; (b) collect or process protected health information, payment card data (outside an approved payment processor), government identification numbers, or other highly sensitive data through the Services; (c) use the Services for emergency services or life-critical purposes; (d) post fake reviews, gate or incentivize reviews in violation of platform rules or FTC rules, or impersonate any person; (e) send spam or malware; (f) interfere with, reverse engineer, scrape, or attempt unauthorized access to the Site, Services, or Third-Party Services; (g) resell the Services without Decka's written consent; or (h) use the Services in a way that violates any Third-Party Service's terms. Decka may suspend Services immediately to prevent or stop a violation.

10. AI-generated output

The Services use artificial intelligence that generates responses and content automatically ("AI Output"). AI Output may be inaccurate, incomplete, inappropriate, or inconsistent with your instructions, and AI may misunderstand callers or messages. AI Output is not professional, legal, medical, financial, or safety advice. You are responsible for reviewing AI Output, for the instructions and information you give the AI, for any content you choose to publish automatically, and for all quotes, prices, appointments, and commitments made to your customers. Decka is not liable for AI Output or for any decision made in reliance on it.

11. Not an emergency service

The Services, including the AI receptionist, are not an emergency service and must not be relied on to request, dispatch, or deliver emergency assistance. You are responsible for instructing callers to dial 911 in an emergency and for any emergency procedures of your business.

12. No guaranteed results

Decka does not guarantee any particular number of calls, leads, appointments, reviews, ratings, rankings, listings acceptance, traffic, revenue, return on investment, or other result. Search rankings, map results, listings, review platforms, and advertising performance are controlled by third parties. Benchmarks, estimates, calculator outputs, case studies, and examples on the Site or in sales materials are illustrative only and are not promises or predictions of your results.

13. Confidentiality

Each party will protect the other's non-public business information that is marked confidential or would reasonably be understood to be confidential, using reasonable care, and will use it only to perform under these Terms. These obligations do not apply to information that is public through no fault of the recipient, already known to it, independently developed, or rightfully received from a third party, and do not prevent disclosure required by law with prompt notice where lawful.

14. Client Data and data processing

"Client Data" means personal information and other data that you or your customers submit through the Services. As between the parties, you own Client Data. You grant Decka and its service providers a non-exclusive license to host, process, transmit, and use Client Data to provide, secure, support, and improve the Services and as required by law.

To the extent Decka processes personal information on your behalf that is subject to the CCPA or similar laws, Decka acts as your service provider or processor and will: (a) process it only for the business purposes of providing the Services and as permitted by law; (b) not sell or share it, or retain, use, or disclose it outside the direct business relationship or for any purpose other than providing the Services, except as the law permits; (c) not combine it with other personal information except as permitted by law; (d) provide the same level of privacy protection the law requires and notify you if it can no longer meet its obligations; (e) bind its subprocessors to written terms at least as protective; and (f) reasonably assist you with consumer requests at your cost. You may take reasonable steps to stop unauthorized use. Decka may create and use de-identified and aggregated data that does not identify you or any individual.

After termination, you may request an export of your contact records and conversation history within 30 days; Decka may then delete Client Data, subject to backups and retention required by law. Decka is not responsible for data held by Third-Party Services or for data loss caused by them.

15. Intellectual property

Decka and its licensors own the Site, the Services, and all templates, prompts, workflows, automations, configurations, scripts, methods, documentation, and know-how used to provide them ("Decka Materials"), including improvements made while serving you. Subject to these Terms and payment of fees, Decka grants you a limited, non-exclusive, non-transferable license to use the Services and Decka Materials for your internal business during your subscription. You retain ownership of your logos, trademarks, and content, and grant Decka a license to use them to provide the Services. If you give feedback or suggestions, Decka may use them without restriction or compensation. Content created specifically for you and published under your brand (such as approved posts and blog articles) may continue to be used by you after termination.

16. Accounts, phone numbers, and transition

Your existing business phone number remains yours. Phone numbers, sub-accounts, and software accounts Decka provisions through its platforms are licensed to you only while your subscription is active and may not be transferable after cancellation. Upon termination Decka will reasonably cooperate, at its then-current rates, to help you transition, but is not obligated to transfer platform accounts, configurations, or Decka Materials.

17. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. Site content is provided for general information, may contain errors, and may change without notice. You may not copy, modify, distribute, or create derivative works of Site content without written permission, except for personal, non-commercial viewing. Anything you submit through the Site may be used by Decka to respond to you and as described in our Privacy Policy. Links to third-party sites are provided for convenience only, without endorsement.

18. Disclaimer of warranties

Except as expressly stated in these Terms, the Site, Services, AI Output, Decka Materials, and Third-Party Services are provided "as is" and "as available," with all faults and without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment, and any warranties arising from course of dealing or usage of trade. Decka does not warrant that the Site or Services will be uninterrupted, timely, secure, error-free, or free of harmful components, that calls or messages will be answered, delivered, or recorded, or that any defect will be corrected.

19. Limitation of liability

To the fullest extent permitted by law: (a) Decka and its members, managers, employees, contractors, partners, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, customers, goodwill, or data, or for missed calls, messages, leads, or appointments, or for the cost of substitute services, however caused and under any theory of liability, even if advised of the possibility; and (b) Decka's total cumulative liability arising out of or relating to these Terms, the Site, or the Services will not exceed the fees you actually paid Decka in the three (3) months before the event giving rise to the claim, or one hundred dollars ($100) if you have paid no fees.

These limitations are an essential basis of the bargain and apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law, including liability for fraud or willful injury under California Civil Code ยง 1668.

20. Indemnification

You will defend, indemnify, and hold harmless Decka and its members, managers, employees, contractors, partners, and licensors from and against all claims, demands, actions, investigations, fines, penalties, damages, losses, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your business, products, services, or customer relationships; (b) Client Data or content you or your customers provide; (c) your instructions to Decka or to the AI, or content you approve or auto-publish; (d) any call, text, email, or message sent or recorded by or for you, including any claim under the TCPA, CIPA, CAN-SPAM, or similar laws, or any claim that consent or notice was lacking; (e) your violation of these Terms, law, or third-party rights or terms; or (f) your negligence or willful misconduct. Decka will give you prompt notice of a claim, may participate with counsel of its choice at its own cost, and you will not settle any claim that imposes obligations on Decka without its written consent.

21. Dispute resolution, binding arbitration, and class action waiver

Informal resolution. Before starting any proceeding, a party must send a written notice describing the dispute and the relief sought (to Decka at admin@deckaservices.com and the address in Section 25) and the parties will try in good faith to resolve it for 30 days.

Binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or the relationship between you and Decka, including the validity, scope, and enforceability of this Section ("Dispute"), will be resolved exclusively by final, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (or, if you are an individual and the Consumer Arbitration Rules are required to apply, those rules), before a single arbitrator. The arbitration will take place in Riverside County, California, or by video conference if the parties agree. The arbitrator may award any individual relief available in court, consistent with these Terms, and judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this Section.

Exceptions. Either party may (a) bring an individual claim in small claims court; (b) seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, or the security of systems; and (c) Decka may bring an action in court to collect unpaid fees. Any claim for public injunctive relief that cannot lawfully be arbitrated will be severed and stayed pending the arbitration of all other claims, then decided by a court.

Class action and jury waiver. You and Decka each agree that Disputes will be resolved only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, and each waives the right to a trial by jury. The arbitrator may not consolidate claims or preside over any representative proceeding. If this class waiver is found unenforceable as to a claim, that claim will proceed in court and not in arbitration, and this Section otherwise remains in effect.

Time limit. To the extent permitted by law, any Dispute must be brought within one (1) year after it arose, or it is permanently barred.

22. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, and by the Federal Arbitration Act as to Section 21. For any matter permitted to proceed in court, the parties submit to the exclusive jurisdiction of the state and federal courts located in Riverside County, California. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

23. Force majeure

Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, epidemic, war, terrorism, civil unrest, labor disputes, government action, power or internet failures, cyberattacks, and the outage, suspension, policy change, or failure of any Third-Party Service, carrier, or platform.

24. General terms

  • Entire agreement and precedence. These Terms, any Order, our Privacy Policy, and our SMS Terms are the entire agreement on their subject and supersede prior agreements and statements. If an Order conflicts with these Terms, the Order controls only for that Order. Terms in any purchase order or document you provide are rejected.
  • Changes. Decka may update these Terms by posting a revised version with a new effective date and, for material changes affecting active Clients, giving 30 days' notice by email. Continued use after the effective date constitutes acceptance. Changes do not apply to Disputes that arose before the effective date.
  • Electronic communications and signatures. You consent to receive agreements, notices, invoices, and other communications electronically, and agree that electronic acceptance and signatures are binding.
  • Notices. Notices to Decka must be sent to admin@deckaservices.com, with a copy to the address in Section 25 for legal notices. Cancellation and service notices go to support@deckaservices.com. Notices to you may be sent to the email on your account.
  • Independent contractors. The parties are independent contractors. Nothing creates a partnership, joint venture, agency, franchise, fiduciary, or employment relationship.
  • Assignment. You may not assign these Terms without Decka's written consent. Decka may assign them without consent, including to an affiliate or in a merger, acquisition, or sale of assets. Decka may use subcontractors and fulfillment partners and remains responsible for their performance under these Terms.
  • No third-party beneficiaries. These Terms confer no rights on any third party, including your customers.
  • Waiver and severability. A failure to enforce a provision is not a waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in effect.
  • Interpretation. Headings are for convenience only. "Including" means "including without limitation." These Terms will not be construed against the drafter.
  • Export and sanctions. You will comply with U.S. export control and sanctions laws in your use of the Services.
